General Terms and Conditions — Feinwerk Plugins

1. Scope and provider
(1) These Terms apply to the use of the plugin store “Feinwerk Plugins” at plugins.feinwerk.io (the “Store”) and to the licensing of the software extensions offered there (“Plugins”) for the web analytics software Matomo.
(2) The Store is operated, and the Plugins are licensed, by: Feinwerk, Peter Boehlke, Carl-von-Linde-Straße 32, 85716 Unterschleißheim, Germany, email: info@feinwerk.io, VAT ID: DE258703909 (“Feinwerk”).
(3) The offer is aimed primarily at businesses within the meaning of Section 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law. Consumers may also order; for them, the statutory consumer protection provisions and clause 3a apply in addition.
2. Subject matter
(1) Feinwerk offers Plugins for Matomo in free and paid editions. Paid Plugins are offered as subscriptions with a term of one month, one year or two years and, where offered on the product page, as a one-time purchase with a perpetual license. The scope in each case follows from the product page at the time of the order.
(2) The connector plugin for installing and updating the Plugins in Matomo (the “Connector”) is provided free of charge.
(3) The subject matter is the licensing of software. Consulting, installation or customisation services are not included and require a separate agreement.
3. Conclusion of contract and payment processing (Paddle)
(1) Paid licenses are sold through our reseller Paddle acting as merchant of record. The seller under the purchase contract is Paddle.com Market Limited, 30 Old Bailey, London EC4M 7AU, United Kingdom, or, for buyers based in the USA or Canada, the respective local Paddle company (together “Paddle”). The purchase contract for the license is concluded between the customer and Paddle; Paddle’s buyer terms (https://www.paddle.com/legal/buyer-terms) apply in addition. Paddle issues the invoice and remits any applicable sales tax or VAT.
(2) The grant of the license and the terms of use of the Plugins (clauses 4 to 9) are governed exclusively by these Terms between the customer and Feinwerk.
(3) When the purchase is completed, a customer account is created automatically in the Store, or the purchase is assigned to an existing account with the same email address.
3a. Consumers; right of withdrawal; refunds
(1) As the purchase contract for paid licenses is concluded with Paddle as merchant of record, consumers’ statutory right of withdrawal and refunds are governed by Paddle’s buyer terms and refund policy (https://www.paddle.com/legal/refund-policy). During checkout, Paddle informs about the right of withdrawal and its possible expiry for digital content (Section 356(5) BGB) and provides the withdrawal instructions. The customer handles withdrawals and refunds directly with Paddle. An overview is provided in the Feinwerk Plugins refund policy.
(2) Consumers may terminate free services (free Plugins, trial licenses, customer account) at any time without giving reasons; clause 10 remains unaffected.
4. Scope of license
(1) Upon full payment, the customer receives a simple, non-exclusive, non-transferable right to install and use the Plugin on the licensed number of Matomo instances (“seats”, default: one instance) for the term of the license.
(2) Where a plan limits the number of Matomo users, use is restricted to that number. Exceeding it does not lead to deactivation but obliges the customer to upgrade to the appropriate plan.
(3) In particular, the following are not permitted: passing on, renting or sublicensing to third parties; making the Plugin code publicly available; removing copyright or license notices. Agency and multi-instance use requires the corresponding number of seats.
(4) Trial licenses (e.g. a 14-day trial) are free of charge, expire automatically and do not give rise to any claim to functionality or availability.
(5) The End User License Agreement (EULA) for Feinwerk’s Plugins applies in addition; in the event of conflict, these Terms prevail.
5. Delivery, updates and support
(1) Plugins are delivered as a download via the Store or via the Connector directly into the customer’s Matomo instance.
(2) During the license term, the customer has access to updates of the licensed Plugin (bug fixes and compatibility adjustments for supported Matomo versions). There is no claim to new features. The supported Matomo and PHP versions are stated on the product page.
(3) Support is provided by email (support@feinwerk.io) to a reasonable extent. No fixed response or recovery times (SLA) are promised; these require a separate agreement.
6. Customer obligations
(1) The customer protects its access credentials (customer account, instance token, license key) against unauthorised access. If misuse is suspected, the token can be regenerated in the customer account at any time.
(2) The customer is solely responsible for operating its Matomo instance, for backups and for compliance with data protection obligations within its instance.
(3) Before installing versions marked as changing the database, the customer is responsible for choosing a suitable maintenance window.
7. Availability of the Store; offline behaviour
(1) Feinwerk strives for high availability of the Store and the update service; there is no entitlement to uninterrupted availability. Maintenance will be announced where possible.
(2) The Plugins continue to work regardless of the Store’s availability; if the Store cannot be reached, only update checks and new installations are not possible.
8. Warranty
The statutory warranty rights apply, subject to the following for businesses: the limitation period for claims for defects is twelve months from delivery, except in cases of intent, gross negligence and damage resulting from injury to life, body or health. The agreed properties are exclusively those stated on the product page; public statements by third parties do not constitute an agreement on properties.
9. Liability
(1) Feinwerk is liable without limitation for intent and gross negligence, for injury to life, body or health, and under the German Product Liability Act.
(2) In the event of a slightly negligent breach of material contractual obligations (cardinal obligations), liability is limited to the foreseeable damage typical for the contract; otherwise, liability for slight negligence is excluded.
(3) Feinwerk is liable for loss of data only to the extent that it would also have occurred if the customer had backed up its data properly and regularly.
10. Term, renewal, cancellation
(1) Subscriptions renew automatically for the respective term unless cancelled before the end of the current period. Cancellation is possible at any time with effect from the end of the period in the customer account (“My subscriptions”) or via Paddle.
(2) After the license ends, the entitlement to updates and new installations lapses. Plugin versions already installed remain technically operational; features that require a valid license may be deactivated after the license ends. The evaluation of data already collected in Matomo remains unaffected.
(3) The right to terminate for good cause remains unaffected.
11. Data protection
Information on the processing of personal data can be found in the Feinwerk Plugins privacy policy. The Plugins do not automatically transmit any of the customer’s analytics data (visitor data) to Feinwerk; for license checks and update delivery, only technical metadata of the instance (e.g. instance ID, Plugin and Matomo versions, number of users) is processed. Content that the customer submits itself, such as bug reports with screenshots, is processed by Feinwerk only to handle the respective request.
12. Changes to these Terms
Feinwerk may amend these Terms with effect for the future insofar as this is reasonable for the customer. Changes will be announced by email at least six weeks before they take effect; if the customer does not object within this period, they are deemed accepted. The announcement will point out the right to object and the consequences of not objecting.
13. Final provisions
(1) German law applies, excluding the UN Convention on Contracts for the International Sale of Goods.
(2) If the customer is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction is Munich. For consumers, the statutory places of jurisdiction apply.
(3) Feinwerk is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
(4) Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
